Terms of trade

Summary

We will always do our best to fulfill your needs and meet your goals, but sometimes it is best to have a few simple things written down so that we both know what is what, who should do what and what happens if stuff goes wrong. In this agreement you won’t find complicated legal terms or large passages of unreadable text. We have no desire to trick you into agreeing to something that you might later regret. We want what’s best for the safety of both parties, both now and in the future.

In short

By accepting a valid quote or estimate prepared by London Studio, or by asking us to commence work on your project you are confirming you accept the following conditions. You are hiring us (London Studio Limited) to complete a service detailed in a estimate, quote, email or previous correspondence. Of course it’s a little more complicated, but we’ll get to that.

What do both parties agree to do?

As our customer, you have the power and ability to enter into this agreement on behalf of your company or organisation. You agree to provide us with everything that we need to complete the project including text, images and other information as and when we need it, and in the format that we ask for. You agree to review our work, provide feedback and sign-off approval in a timely manner too. Deadlines work two ways and you will also be bound by any dates that we set together. You also agree to stick to the payment schedule set out at the end of this agreement.

We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner. Along the way we will endeavour to meet all the deadlines set but we can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved our work on-time at any stage. On top of this we will also maintain the confidentiality of any information that you give us.

Getting down to the nitty gritty

Design

If during the design process you find your self not happy with the designs at this stage, you will pay us in full for all of the work that we have produced until that point and you may either cancel the project or continue to commission us to make further design revisions at the hourly rate of $85 per hour plus GST.

Text content

You may have written a best-seller but we’re not responsible for writing or re-typing any text copy unless we specified it in the original estimate. We’ll be happy to help though, and in addition to the estimate we will charge you at $85 per hour plus GST for copy writing or re-typing supplied copy.

Photographs

You will supply us photographs in digital format. If you choose to buy stock photographs we can suggest vendors of stock photography. Any time we spend searching for appropriate photographs will be charged at $85 per hour plus GST.

Changes and revisions

The estimate/quotation prices that you may have received are based on the number of hours that we we’ll need to accomplish everything that you have told us you want to achieve. If you do want to change your mind, add extra pages or enlarge the project from what was estimated/quoted, that won’t be a problem. You will be charged the hourly rate of $85 per hour plus GST. Along the way we might ask you to put requests in writing so we can keep track of changes.

File formats

We use the industry standard Adobe Creative Suite CS6 software to craft your work. Depending on the nature of your project your work will be created in Adobe Indesign CS6, Adobe Illustrator CS6 and Adobe Photoshop CS6 or any combination of the three. If on completion of the project you would like a copy of all files used in the creation of your project this will be supplied to you in either a download link or copied onto a disc.

We will not supply you with copies of the fonts we have used in your project. Fonts are subject to licensing agreements between us and their creators and cannot be distributed without the font creators approval.

If you would like to make your own changes to the supplied files in the future you are aware you will need the appropriate product from the Adobe Creative Suite CS6 to do this. If you would like us to make any changes to your product in the future please let us know and we will work out a price based on how long it will take.

Finally we will choose the correct software to create your product in and will not create your product in a software product of your choosing.

Monitor display of colours

The colours of any PDF proof may not display identically on your monitor to how final printed product would appear and are intended to be used as a guide only. If you would like a printed proof to check of your approved artwork before printing. Please let us know and we will arrange one at additional cost if not included in the initial quote.

Your approval

Before approving your work please read your copy carefully and completely. Check for spelling errors and copy omissions. We do not proof read your work and will not be held responsible for any errors which we are not made aware of in writing. Any reprints desired due to mistakes discovered after proofing will be at the expense of the customer.

Copyrights

You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the project are either owned by your good selves, or that you have permission to use them.

When we receive your final payment, copyright is automatically assigned as follows:

You own the graphics and other visual elements that we create for you for this project. You also own text content, photographs and other data you provided, unless someone else owns them.

We love to show off our work and share what we have learned with other people, so we also reserve the right to display and a copy of your project at any stage of the design process and any comments you make as part of our portfolio or advertising and to write about the project on web sites, in magazine articles and in books about graphic design.

Payments

We are sure you understand how important it is, that you pay the invoices that we send you promptly. As we’re also sure you’ll want to stay friends, you agree to the following payment schedule.

On completion of the project you will be issued with a invoice detailing the final amount you need to pay and multiple payment methods available to you including, cheque, bank transfer and paying by credit / debit card online.

Unless credit has been approved payment is required in full on your approval of the final design and must be received before the print ready artwork or PDF will be dispatched.

If credit has been applied for and approved by us, you will receive the print ready artwork or PDF and have 30 days to pay the invoice. In either case, any overdue amount not paid after 30 days will be passed over to a debt collection agency for collection, and worse, you will be liable for all debt collection costs.

But where is all the horrible small print?

Just like a parking ticket, you cannot transfer this agreement to anyone else without our permission. This agreement stays in place and need not be renewed. If for some reason one part of this agreement becomes invalid or un-enforceable, the remaining parts of it remain in place.

Although the language is simple, the intentions are serious and this agreement is a legal document.
